ETWO CONFERENCES & SEMINARS ORG LLC, represented by the General Director Evdokimov Denis referred to hereinafter to as "Organizer", on the one hand, and ________, represented by the General Director _________, hereinafter referred to as a "Participant", on the other hand, hereinafter jointly referred to as "Parties", and separately referred as "Party", have concluded this Agreement as follows:

1. Subject of the contract


1.1. The Organizer of the Event provides advertising support to the Participant within the framework of the event "International Annual Conference on Restaurant Business Development Restaurantweek in Dubai 2024" (hereinafter referred to as the Event), held on Date to be announced 2026, in the form of providing the Participant with an exposition area in the exhibition space of the Event, advertising and information support on the resources of the Organizer's company. The exposition area is open on Date to be announced 2026. The Event is held in Dubai, UAE, JW Marriott Hotel Marina, 66 Al Marsa St - Dubai Marina - Dubai.

2. Rights and obligations of Parties

2.1. The event participant is committed to:
2.1.1. Participant agrees to exhibit at the Event.
2.1.1.1. Provide your stand for exhibiting during the event from 08:00 to 20:00. Check-in to the venue no later than 08:00 and make your area fully ready by 09:00.
2.1.2. By January 26, provide the Organizer with the information required for stand installation: stand size, selected location, network connection parameters.
2.1.3. By January 26, provide the Organizer with the following information for the production of the event program and graphic materials for placement on the website and in the promotional materials of the event:
- Information: company logo, brief description of activities and link to the website;
- Requirements for graphics to be placed on the website and in the event promotional materials:
.jpg or .png image
size: 400 x 400 px
text color on white or transparent background - color or black.
text color on a colored background - any color.
2.1.4. By January 29, provide a list of your employees and guests within the number specified in paragraph 2.2.5. Guests may be invited according to the rules: only legal entities and individuals whose activities are related to the restaurant business.
2.1.5. Transport the stand proposed to be exhibited to and from the event at its own cost and expense;
2.1.6. Esure that exhibits are accompanied by expert explanations;
2.1.7. Ensure compliance with the technical and fire safety rules, as well as bring to the Venue equipment that complies with all safety standards and has the necessary certificates;
2.1.8. In case of early departure from the exposition, notify the Organizer at least 7 days prior to the Event.
2.1.9. Make a payment to the Event Organizer for rendering services under this Agreement within the terms and in the amounts established by this Agreement.
2.1.10. Ensure the safety (storage and security) of the Exhibits, imported equipment and personal belongings at the event;
2.1.11. Be fully responsible for the safety of the Event Venue's property in the allocated exhibition area from the moment of signing the acceptance act and up to the moment of handing over the area under the acceptance act.

2.2. The Organizer is obligated

2.2.1 Provide exhibition space in the exhibition hall of __ sq.m. declared by the Exhibitor ( paragraph 2.1.2. of the Contract) and necessary for displaying the Exhibitor's stand, as well as 2 chairs and a table;
2.2.2 Place the information and graphic material of the Participant on the event website.
2.2.3 Provide information about the event to interested persons and organizations, make and place advertisement of the event in advance;
2.2.4 Ensure proper functioning of the event by inviting the necessary service staff.
2.2.5 Provide an opportunity to invite the Participant's guests to the event by providing information on them in the time and form specified in paragraph 2.1 and in the number - ______________________.
2.2.6. Provide Announcement of the Participant from the stage during the event: 1 time per day; branding of video interludes between speakers; placement of information about the Participant in the Participant's notebook (layout) - ¼ page (spell out the contents of the partner package)
2.2.7 After the services have been rendered, send to the Participant the Act of Acceptance of the rendered services signed by the Organizer. Within 5 (five) working days from the date of receipt, the Participant shall be obliged to sign the Act or send a reasoned refusal to sign.

2.3. Organizer is entitrled to

2.3.1 Involve third parties in the provision of Services without notifying the Participant. In this case, the Organizer is responsible for the actions of third parties as for its own.
2.3.2. To conclude similar contracts with other organizations.
2.3.3 Use the Participant's logo and presentation materials in promotional and informational materials related exclusively to the Event.
2.3.4 Do not display the Participant's information and graphic materials in case of breaking the deadlines for their submission specified in paragraph 2.1.
2.3.6. Postpone the date of the Event by notifying the Participant no later than 15 (fifteen) calendar days prior to the date of the Event specified in paragraph 1.1.

3. Fees for services and payment procedure


3.1 The cost of Services under this Agreement shall be ______,00 (________) $. VAT exclusive and is 100% prepayment.
3.2 The amount indicated in paragraph 3.1. shall be paid by the Participant: up to and including "__" _________ 2024.
3.3 The Participant shall make all payments to the Organizer by bank transfer to the bank account specified in the Organizer's details. The date of fulfillment of the Participant's obligation to pay for the Organizer's Services shall be the date of transfer of funds to the correspondent account of the Organizer's bank. The Participant's bank commissions shall be paid by the Participant; the Organizer's bank commissions shall be paid by the Organizer.

4. Liability of the Parties


4.1 In case of early cancellation of the contract by the Participant, the Organizer of the Event returns the prepayment in the amount of 25% of the contract value.
4.2 The Organizer shall not be responsible for material damage to the Participant due to force majeure.
4.3 The Organizer has the right to refuse the Participant to register some employees or guests if they do not comply with the rules of paragraph 2.1.4.
4.4. The Participant is fully responsible for the content and accuracy of the advertising information in accordance with the current legislation.
4.5 The text, graphic materials or the finished original layout submitted to the Organizer by the Participant's responsible representatives are not the final version and may be subject to change. The Organizer shall agree with the Participant in advance on any changes to the text, graphic materials or the finished original layout submitted by the Participant.
4.6 The Parties shall be liable for breach of obligations to keep confidential information secret and for breaking the legislation on protection and processing of personal data in accordance with the legislation and shall be obliged to compensate the injured Party for losses in full caused by breach of confidentiality and norms on personal data protection and processing.

5. Other terms and conditions


5.1 All disputes and disagreements under this contract shall be resolved by negotiation whenever possible. In case of failure to reach an agreement, the dispute shall be referred to the arbitration court at the location of the respondent.
5.2 This Agreement is made in 2 (two) copies having equal legal force - one for each of the parties and is valid from the moment of signing until the parties fulfill their obligations.
5.3. The Organizer and the Participant guarantee non-disclosure of information received in the course of work from the other party, as well as information on the amounts and types of services rendered.
5.4 For more operative interaction, the Parties have agreed that materials, documents or any kind of information required for the purpose of fulfillment of the Parties' obligations under this Contract may be sent by the Parties by e-mail and shall be legally valid if: the letter/file is sent from/to the Participant's address: _____________________ from/to the Organizer's address: restaurantweek@e2event.com.
5.5 In case the Participant or the Organizer want to change/add a new e-mail address, they send a message from the above mentioned e-mail addresses indicating the new address. From the moment the other Party receives such e-mail message, the e-mail correspondence from the new address is also valid.
5.6 Each of the Parties confirms hereby that the fact of conclusion of this Agreement does not breach any internal corporate procedures of the respective Party, current legislation, obligations of the Party to third parties, as well as guarantees to the other Party the fact of receipt by the Party (as well as the person who signed this Agreement on its behalf) of all approvals required for conclusion of this Agreement. The Participant and the Organizer confirm that they have all rights and powers necessary to conclude this Contract.
5.7 Correspondence sent to the e-mail addresses specified in this Agreement shall be legally valid for the Parties to the Agreement. In this case, each of the Parties shall have the right to request the other Party to provide any notice, notification or other communication sent by e-mail in hard copy, and the other Party shall be obliged to send the relevant document to the requesting Party within 3 (three) business days from the date of receipt of such request.

6. Force Majeure

6.1 The Parties are not liable for non-fulfillment or improper fulfillment of obligations under this Agreement if they prove that it occurred due to force majeure circumstances (force majeure), which the Parties could neither foresee nor prevent. Force majeure circumstances include, but are not limited to: hostilities, fire, natural disasters, military operations of any nature, blockades, export or import bans, strikes, civil unrest, delays due to accident or adverse weather conditions, epidemics, pandemics, emergencies, including health emergencies.
6.2 Upon the occurrence of the circumstances specified in clause 6.1 of this agreement, a party shall notify the other party in writing within 4 (four) business days.
6.3 The notice shall contain data on the nature of the circumstances and, if possible, documents confirming the occurrence of the said circumstances.
6.4 In case of occurrence of the circumstances stipulated in clause 6.1 of the Agreement, the term of fulfillment of obligations by the Party shall be postponed proportionally to the time during which these circumstances and their consequences are in effect.
6.5 If the circumstances listed in clause 6.1 of the contract and their consequences continue to be in effect for more than two months, the Parties shall conduct additional negotiations to identify alternative ways of fulfillment of this contract.
